“Supplier” shall mean Privé Bridal, or any agents or employees thereof.

“Customer” shall mean the Customer, any person acting on behalf of and with the authority of the Customer, or any person purchasing Goods from the Supplier .

“Goods” shall mean all Goods, products and services provided by the Supplier to the Customer including freight and courier costs associated with the the supply of Goods by the Supplier to the Customer.

Payment terms: Payment is due on the 20th day of the month following the month in which the Goods are invoiced. Except where any other terms are specially arranged and confirmed in writing. All invoices open and unpaid beyond the stated credit terms may be assessed interest charges at a rate 2% per month or part month, to the overdue account on a daily basis until payment is made in full. Failure to satisfy payment per the stated terms may result in the withholding of future shipments. All expenses incurred by the Supplier in securing overdue debt will be at the Customer’s expense. The Supplier reserves the right to close an account solely at its own discretion.

Title to goods: The Supplier owns the goods until receipt of payment from the Customer.

Claims: The goods shall be deemed to have been delivered to the Customer and all risk in respect to the Goods shall pass to the buyer upon the Goods having been despatched by the seller. Claims for partial loss or damage must be laid with the carrying agency in the first instance. No claim for partial loss or damage can be admitted unless received within seven (7) days of delivery.

Return of Goods: The Customer will be deemed to have accepted the Goods unless the Customer notifies the Supplier within seven (7) days of delivery of the Goods. The Customer is liable for all freight and insurance cost of returns.

Liability: The Supplier shall not be liable for any indirect or consequential loss arising from claims in response to errors in the finished product or a delay in delivery of the Goods. No warranty is given to ensure that the goods comply with legislation. Compliance with the requirements of any such legislation is the responsibility of the Customer.

Freight: The cost of delivery shall be paid by the Customer except where otherwise agreed.

Goods returned for credit: Credit for returned Goods is to be applied to the Customer account as credit for future purchases. The Supplier has the right to decide which Goods it will accept for credit at its sole discretion, but the expectation is that this will be for faulty items only.

Trial Orders/Time Payment/Goods on Consignment: Unless otherwise agreed to in writing by the Supplier such orders will be invoiced in the normal manner in due course, and are not to be considered free of charge.

Changes: The Customer undertakes to give written notification immediately should their business be sold as a going concern or otherwise.

Prices: All prices are subject to alteration without notice and orders are accepted only on the condition that all deliveries will be invoiced at the prices and on the terms ruling at the date of dispatch.

Modification/Conflicts: The Supplier retains the right to modify the terms of supply upon notice to the Customers. Where the Supplier has negotiated different terms with Customers which are in conflict with these terms, then such terms will take precedence over the above terms.
